RULES FOR PARTICIPATION IN THE PROMOTION "MEET! 101 DIAMOND AND LAVINA MALL!"

(hereinafter referred to as "Official Terms" or "Rules")

• The promotion is conducted in accordance with the terms of these Rules (Official Terms).
• The Customer and the Organizer are not responsible for failure to acquaint the Participant with these Rules.

1. Customer, Organizer and Partner of the Promotion
1.1. The customer of the Promotion called "MEET! 101 DIAMOND AND LAVINA MALL!" (hereinafter - the "Action") is represented by the LIMITED LIABILITY COMPANY "TLVINA SHOPPING", taxpayer code according to the Unified State Register of Enterprises and Organizations of Ukraine 38537759.

1.2. The organizer of the Action is FOP Zeykan Yury Denisovych (Registration number OKPP 3509007037).

1.3. Partner -1 of the Action is Markholder Limited Liability Company, taxpayer code according to the Unified State Register of Enterprises and Organizations of Ukraine 42772934 ("Ukrzoloto" trademark).

1.4. Partner -2 of the Action is a NATURAL PERSON - ENTREPRENEUR OLGA SERGIIVNA SYCHOVA, registration number of the taxpayer's registration card 3042214886

1.5. Partner - 3 Actions is a NATURAL PERSON-ENTREPRENEUR VIVENKO DMYTRO VOLODYMYROVYCH, taxpayer registration number 3143918371

The promotion includes a promotion that will be held offline on the territory of the "Lavyna" shopping and entertainment center (hereinafter referred to as the Promotion in the shopping center) and an online promotion (hereinafter referred to as the Online Promotion).

2. Prize Fund Actions
2.1. The prize fund of the Promotion is limited.

Promotion prizes:

Pendant: ornament 585, average weight 0.21 gr., insert 6 stones (diamonds), total weight 0.010 cr., red gold, total number 101 pcs.

2.2. Awarding of the Prize to the Winner is carried out by the Customer of the Promotion or the Organizer of the Promotion or Partner - 1 or Partner - 2 or Partner - 3. Compliance with the requirements of the current legislation of Ukraine regarding the taxation of the value of income as a result of receiving the Prizes of the Promotion is ensured by Partner 2 and Partner - 3 in accordance with the requirements of the legislation of Ukraine.
2.3. Prizes of the Promotion may be received by the Winners of the Promotion only under the conditions specified in these Rules.
2.4. The appearance and content of the Promotional Prizes may differ from their images on the promotional materials of the Promotion, and may not meet the expectations of the Promotional Participants.
2.5. One Winner can receive several Prizes: one Prize within the Promotion in the mall and one Prize within the Promotion online.

WARNING! This Promotion is not a game of chance, lottery, gaming service, or contest, and these Rules are not a public promise of reward or contest terms.

3. The main provisions of the Promotion in the shopping center

3.1. The action in the mall is held on the territory of the "Lavina" shopping and entertainment center, located at the address: Kyiv, Berkovetska Street, 6D (hereinafter - the mall) and will last from 10:00 a.m. 02/01/2024 until 5:00 p.m. 30.03.2024 inclusive (hereinafter referred to as the "Period of the Promotion").

The period of the Promotion in the mall can be changed by means of a notification on the official website of the mall https://lavinamall.ua/ and pages in the Customer's social networks.

3.2. Who has the right to participate in the Promotion in the shopping center?

All citizens of Ukraine who permanently reside in Ukraine and who have reached the age of 18 at the start of the Promotion in the shopping center;
Individuals can participate in the Promotion in the mall, provided they fulfill the conditions for participation in the Promotion in the mall, provided for in these Rules.

3.3. The following are not recognized as participants in the Promotion in the shopping center and do not have the right to participate in the Promotion in the shopping center:

• persons who were under 18 years of age at the time of the Promotion in the shopping center;
• persons who have not fulfilled the conditions of these Rules;
• non-residents of Ukraine;
• owners and employees of the Customer/Organizer/Partner-1/Partner-2 and Partner-3 or representatives of the tenants of the "Lavyna" Shopping Center (including, but not limited to: store staff of the "Lavyna" Shopping Center), owners and employees of other third parties, involved in the Promotion and maintenance of the "Lavyna" Shopping Center, including advertising agencies, cleaning, security and other organizations, as well as immediate members of their families.

4. Goods, the purchase of which gives the right to participate in the Promotion in the shopping center

4.1. A mandatory condition for participation in the Promotion in the shopping center is the purchase of goods on the territory of the "Lavyna" shopping center (hereinafter referred to as "Goods"). The list and location of stores, the purchase of goods in which gives the right to participate in the Promotion in the mall, can be found on the website of the mall https://lavinamall.ua/ or directly in the mall at the information counters/stands.

5. Conditions and procedure for participation in the Promotion in the shopping center
5.1. In order to acquire the status of a Participant of the Promotion in the shopping mall, you must:

5.1.1. During the Promotion period, purchase Goods in the amount of UAH 1,000.00 (one thousand hryvnias 00 kopecks) with one check in stores located on the territory of the "Lavyna" Shopping Center, which must be confirmed by the presence of settlement documents (fiscal or commodity properly issued checks), on which the place (address) of the purchase, the date and amount of the purchase must be clearly indicated, and register the settlement document;

5.1.2. Register a settlement document confirming the purchase that meets the conditions of the Promotion in the shopping center by filling out the Questionnaire at the registration desk in the "Lavyna" shopping center.

5.2. Registration by filling out the Questionnaire can be done by the Participant of the Promotion in the shopping center independently or with the help of promoters, at the promo counter on the territory of the "Lavyna" shopping center.

Work schedule of the promo counter and promoters:

Every day at the following hours:

• in the period from February 1, 2024 to March 29, 2024 inclusive:
  Mon.-Fri.: from 2 p.m. until 8:00 p.m.; Sat.-Sun.: from 12:00 p.m. until 8:00 p.m.;

• March 30, 2024: from 12:00 p.m. until 5:00 p.m.

5.3. The questionnaire is filled out by entering the information about the Participant necessary to participate in the Promotion in the shopping center, namely: Surname, first name, patronymic, amount of the check, date of purchase, name of the store where the purchase was made, e-mail, phone number.

5.4. A participant who has fulfilled the conditions of the Promotion in the shopping center takes part in the draw for Prizes from the Partner.

Only settlement documents (cheques) of the Participant of the Promotion in the shopping center with the date and time corresponding to the period of the Promotion in the shopping center, and for which the registration in the Promotion in the shopping center has been made, in accordance with the conditions of these Rules, are allowed to participate in the Promotion in the shopping center.

The following settlement documents (fiscal or sales receipts) do not meet the conditions of the Promotion in the shopping center:

- which were received during purchases that were not made during the Promotion period in the shopping center (before 2:00 p.m. on 02/01/2024 and after 5:00 p.m. on 03/30/2024);

- issued in violation of the terms of these Rules.

5.5. One Participant has the opportunity to register an unlimited number of checks to participate in the Promotion in the shopping center during the entire period of the Promotion in the shopping center, provided that all conditions of these Rules are met.

5.6. By participating in the Promotion in the shopping center, the Participants of the Promotion in the shopping center thereby confirm the fact of familiarization with these Promotion Rules and their full and unconditional agreement with them.

5.7. By participating in the Promotion, Participants of the Promotion in the Shopping Center voluntarily agree to provide the Promotion Organizer with information (including personal information) determined by the Customer and the Promotion Organizer as necessary to receive the relevant Promotion Prize.
5.8. Violation by the Participants of the Promotion of these Rules or the refusal of the Participants of the Promotion to properly comply with these Rules (including the mechanics, procedure and deadlines of the Promotion and/or receiving the Prizes of the Promotion, etc.) is considered a refusal of the Participant to participate in the Promotion. At the same time, such a person does not have the right to receive any compensation from the Customer and the Promotion Organizer and/or the third parties engaged by them.
5.9. Participants of the Promotion in the shopping mall must keep the original settlement documents (cheques) for the Goods, on the basis of which they participate in the Promotion in the shopping mall, to confirm the purchase in the "Lavyna" shopping mall during the period of the Promotion.
5.10. The Customer and/or the Organizer of the Promotion has the right to demand from the Participant of the Promotion to present the original settlement documents (cheques) for the Goods participating in the Promotion in the mall at any time at their discretion.

6. Conducting a drawing of Prizes within the Promotion in the shopping center
6.1. Prizes will be drawn exclusively for checks in the amount of UAH 1,000.00 or more that were registered during the Promotion.

6.2. The raffle will be held as follows:

The first raffle for Valentine's Day (33 pendants) - February 11, 2024 from 3:00 p.m. to 6:00 p.m.

The second draw for International Women's Day (33 hangers) - March 9, 2024 from 3:00 p.m. to 6:00 p.m.

The third draw, the final of the Promotion in the shopping center, (33 hangers) - March 30, 2024 from 3:00 p.m. to 6:00 p.m.

The Customer can inform about the exact time or change of the time of the raffle within the Promotion in the Shopping Center on the official website of the Shopping Center https://lavinamall.ua/ and on the Customer's social media pages.

The customer has the right to change the dates and time of the draw.

6.3. Determination of the Winner of the Promotion in the shopping center will be carried out by the Organizer based on random probability by drawing lots among all the Questionnaires of the Participants participating in the Promotion. The draw will take place as follows: the organizer (the host of the drawing) will select the appropriate number of Winners of the Action in the shopping center using a lottotron, which will contain the registered Questionnaires of the participants of the Promotion in the shopping mall, by means of a "blind" lottery (selection of the Questionnaires without prior review of their content).

The Participant of the Promotion in the Shopping Center, whose Questionnaire will be determined to have won the Prize, will be notified of this immediately at the draw location on the day of the draw by means of a verbal announcement. The presence of the Promotion Participant in the shopping center at the place of the Prize drawing is a mandatory condition for receiving the Prize. If the Participant whose Questionnaire will be determined to have won the Prize, within 5 (five) minutes from the moment of the corresponding announcement, does not confirm his presence at the venue of the drawing (lottotron), and/or does not fulfill the requirements of these Terms, he loses the right to receiving the Prize, and the Prize continues to be drawn among other Participants at random probability, by drawing lots among all other Questionnaires exclusively during the time specified by the Customer/Organizer of the Promotion.
In the event that a Questionnaire belonging to an already selected Participant is drawn from the lottery machine, such Questionnaire will not be taken into account on the day of this particular draw, but at the same time such Participant (Participant Questionnaire) has the right to participate in subsequent draws of this Promotion. If the Participant, whose Questionnaire was drawn from the Lottotron, did not appear at the place indicated by the Organizer, another Winner will be chosen by lot. If the Participant has fulfilled all the conditions stipulated by these Rules, he is declared the Winner and receives the right to the Prize.

WARNING! The Organizer and/or the Customer of the Promotion reserves the right to change the algorithm and the time of determining the Winner.

6.4. Winners will be notified of their victory in the Promotion in the shopping center immediately during the draw.
6.5. Prizes are awarded after the draw.

Awarding of the Prize to the Winner is carried out by the Customer of the Promotion or the Organizer of the Promotion or Partner - 1 or Partner - 2 or Partner - 3 or third parties engaged by them on the central stage of the shopping center on the day of the event. From the moment the Winner receives the Prize, the obligations of Partner - 1, and Partner -2 and Partner - 3 Shares from the moment the Prize is awarded are considered fulfilled in full.
The Organizer, the Customer, Partner 1, Partner - 2, Partner - 3 are not responsible for the impossibility of awarding the Prize to the Winner due to the latter's refusal to provide the documents stipulated in clause 6.6. Official conditions.
Partner - 2 and Partner -3 Shares are recognized as a tax agent at the awarding of the Prize, and undertake to pay all relevant taxes and fees related to the awarding of the Prize, in accordance with the requirements of current legislation.

6.6. The Customer/Organizer has the right to ask the Winner:

• Original/copy of passport and identification number;
• the original of the settlement document (cheque) that was registered in the Promotion in the mall, exclusively for familiarization and verification of compliance by the Participant of the Promotion in the mall with all the terms of the Promotion.

6.7. At the request of the Customer/Organizer/Partner-1/Partner-2/Partner-3, the Winner of the Promotion may present the Prize in the shopping center after verification by the Customer and/or Organizer and/or Partner-1 and/or Partner-2 and/or Partner-3 the original settlement document (cheque) specified by the Winner when registering for the Promotion in the shopping center, as well as on the condition of providing a copy of the passport and identification number, at the place of awarding the prizes after the draw (provided that the Winner does not apply for the return of high-quality Goods against the settlement document (cheque) , which became the basis for determining the Winner, in accordance with the requirements of Article 9 of the Law "On the Protection of Consumer Rights") and signing a statement confirming receipt of the Prize and consent to the processing of personal data. In the event that the Winner (or another person) submits an application for the return of the Goods against the fiscal check, which became the basis for determining the Winner, within the terms specified by the legislation of Ukraine, the Winner loses the right to receive the Prize.

7. Promotion online Prize
7.1. 2 hangers are drawn within the Promotion online, on the Instagram page (https://www.instagram.com/lavinamall.ua/) from 12:00 p.m. February 13, 2024 until 12:00 p.m. February 16, 2024.

7.2. Who has the right to participate in the Promotion online?

• All citizens of Ukraine who permanently reside in Ukraine and who have reached the age of 18 at the start of the Promotion;
• Participants of the Online Promotion may be natural persons, provided that they fulfill the conditions of participation in the Promotion provided by these Rules.

7.3. The following are not recognized as participants of the online Promotion and are not entitled to participate in the online Promotion:

• persons who were under 18 years of age at the time of the Online Promotion;
• persons who have not fulfilled the conditions of these Rules;
• non-residents of Ukraine;
• owners and employees of the Customer/Organizer/Partner – 1/Partner – 2/Partner – 3 or representatives of the tenants of the "Lavyna" Shopping Center (including, but not limited to: service personnel of the shops of the "Lavyna" Shopping Centre), owners and employees of other third parties , involved in the Promotion and maintenance of the Lavina shopping center, including advertising agencies, cleaning, security and other organizations, as well as immediate members of their families.

7.4. To participate in the Promotion online, you need between 12:00 p.m. February 13, 2024 until 12:00 p.m. February 16, 2024. :

7.5. With the help of the Raffles service, two Winners of the Promotion will be selected online from among all those who have fulfilled the conditions specified in Clause 7.4 of these Rules.

7.6. Winners can receive the Prize exclusively in person.

7.7. Prizes will be awarded within 30 (thirty) calendar days after the Promotion is held online at the address: Kyiv, st. Berkovetska, 6D. The exact date and time of awarding the Prizes shall be agreed by the Winner with the Organizer.

7.8. During the presentation of the Prizes, the Winner must present the Organizer with:

original/copy of passport and identification number.
and sign a statement confirming the receipt of the Prize and consent to the processing of personal data.

The online Promotion period can be changed by means of a notification on the official website of the shopping center https://lavinamall.ua/ and social media pages https://www.instagram.com/lavinamall.ua/.

8. Receipt of Prizes by Winners
8.1. Winners can receive the Prize exclusively in person.

8.2. Prize(s) Promotions are not refundable or exchangeable.

8.3. The Customer and the Organizer do not assume responsibility for any disputes regarding the Prize/Prizes, the Customer/Organizer does not enter into any disputes regarding the recognition of any person as a Participant/Winner and the rights to receive the Prize/Prizes. The Customer and the Organizer are not responsible for determining the rights of the parties in any disputes.

8.4. The Customer and the Organizer are not responsible in the event of force majeure, such as natural disasters, fire, flood, military actions of any nature, blockades, significant changes in the legislation in force on the territory and during the Promotion period, others beyond their control on the part of the Customer/Organizer of the Promotion.

8.5. The Customer and/or the Organizer are not responsible for any expenses of the Winner related to receiving and further use of the Prize/Prizes.

8.6. The Customer and the Organizer have the right to:

deny participation in the Promotion to a person who has not fulfilled/improperly fulfilled all the conditions for participation in the Promotion specified in these Rules;
refuse to issue the Prize/Prizes to the Winner who has not fulfilled the conditions necessary for receiving such Prize/Prizes, according to these Rules.
8.7. The Customer and the Organizer bear no responsibility for the reliability of the information provided by the Participants of the Promotion, including contact information with them.

8.8. When receiving the relevant Prize, the Winner signs with the Customer/Organizer of the Promotion a statement confirming receipt of the Prize, and consent to the processing of personal data, the forms of which are determined by the Customer/Organizer of the Promotion, on the basis of which the Winner receives the Prize.

8.9. The Winner's refusal to receive the Prize and/or to sign the Confirmation Statement, as well as providing it later than the specified period or providing information that has signs of falsification or is unreliable/incorrect, deprives the Winner of the right to receive the Prize and is considered the Winner's refusal to receive the Prize. .

8.10. If the Winner is unable/willing to use/receive the Prize for reasons beyond the control of the Customer/Organizer of the Promotion, the Customer/Organizer shall not pay the Winner any compensation related to such inability to use/receive the Prize.

8.11. Replacement of the Prize with other goods/services is not allowed.

9. MISCELLANEOUS
9.1. The Customer/Organizer of the Promotion reserves the right to change these Rules, the date and time of any draw/draws and determination of the Winner, other conditions. Information about the changed date for determining the Winners can be found on the official website: https://lavinamall.ua/

9.2. The Customer/Organizer of the Promotion is not responsible for the inability of the Winner to receive the Prize for any reason beyond the control of the Customer/Organizer of the Promotion, including due to the Winner specifying incorrect/or incomplete data, etc., which are necessary for accepting participation in the Promotion, the Winner's illness, vacation, interruptions in the work of Ukrainian communication operators, etc. At the same time, such a Winner is deprived of the right to receive any compensation from the Customer/Organizer.

9.3. The Customer/Organizer of the Promotion is not responsible for the future use of the Prizes.

9.4. The Winner agrees that in case he receives the Prize, his personal data, which were provided to the Customer/Organizer of the Promotion, as well as the recording of the process of awarding the Prize itself, may be used in printed, audio and video materials without additional special consent of the Winner, and such use by no in this way the Winner is not paid.

9.5. The Customer/Organizer of the Promotion shall not bear any responsibility for failure to conduct the Promotion or award the Prize in the event of force majeure (including natural disasters, fires, floods, military operations of any nature, blockades, terrorist attacks, reports of landmines , significant changes in the current legislation, which is in effect in the territory of the event during the Promotion period, etc.) or other circumstances that make it impossible or difficult to fulfill the duties, and do not depend on the will of the Customer/Organizer of the Promotion.

9.6. In the event of a situation that implies an ambiguous interpretation of these Rules, any disputed issues and/or issues not regulated by these Rules, the final decision is made by the Customer/Promotion Organizer. The decision of the Customer/Promotion Organizer is final and not subject to appeal.

9.7. The fact of filling out the Participant's Questionnaire means the Participant's full agreement with all provisions of the Official Terms of the Promotion, as well as consent to their use, storage and processing personal data in accordance with the Law of Ukraine "On the Protection of Personal Data", on them transfer to third parties, for marketing and/or any other purpose, methods that are not contradict the current legislation of Ukraine (including by transferring it to third parties), in particular, the free use of his name, surname, image (photo or video), interview or other materials about him for advertising purposes, including the right to publish his name and image (photo or video) in the mass media, any printed, audio and video materials, interviews with the mass media, without limitation on the territory and term of such use, and such use is not compensated (not paid for) by the Organizer, Partner-1, Partner-2, Partner-3, Customer or third parties. Also, it is considered that the Participant has given his consent to the use of his name and image within the meaning of Art. 296, 307, 308 of the Civil Code of Ukraine.

Participants are familiarized with their rights provided for in Art. 8 of the Law of Ukraine "On Protection Personal data".

9.8. In cases where the Partner-1, Partner-2, Partner-3, while fulfilling the obligations assumed within the scope of this Promotion, carries out any transactions that are subject to taxation in accordance with the legislation of Ukraine, the Partner-1, Partner-2, Partner-3 ensures the payment of all taxes, fees and mandatory payments provided for by the current legislation of Ukraine, including personal income tax; preparation and submission of relevant tax reporting. Taking into account the terms of this paragraph, the Winner agrees that the Partner's payment of relevant taxes, fees and mandatory payments, including personal income tax, does not exempt the Winner, in accordance with Article 67 of the Constitution of Ukraine and Article 179 of the Tax Code of Ukraine, from submitting an annual declaration on one's property status and income for the past year.

9.9. The rules are approved by the Customer/Organizer of the Promotion and are valid for the duration of the Promotion.
